TERMS AND CONDITIONS OF USE
These general conditions apply to all orders placed with the Company. The Products marketed by the company are exclusively intended for dentistry professionals during the course of their professional business. All orders imply full and unreserved acceptance by the Customer of these general conditions and his renunciation of any other conditions. The Company is only bound to any derogations from these general terms and conditions if they have been accepted in writing and are valid only for the order(s) concerned.
The Company is free at any time to modify the General Terms and Conditions of Sale ? without prior notification in order to adapt them to service developments, laws and regulations in force. Therefore, users of the site are encouraged to consult the General Conditions of Sale on a regular basis.
By accessing this website or by using it, you confirm your understanding and acceptance of these conditions and are bound to respect them. These terms and conditions create an agreement between you and AlphaBio France.
This site is reserved for dentists and professional dental laboratories. Some products are only available on French territory and in a few other countries. If you have any questions, please contact us or contact Alpha-Bio Tec.
Information provided by the user when he registers on the site must be accurate and true. The user also undertakes not to divulge any information that allows him to access and use the site.
Orders are only valid and definitive when the Company has confirmed these. The Company may amend its Product offerings at any time without notice and the terms and conditions applicable to the offer shall always be those set out in the catalogue on the day of the order. Products are offered according to stocks available and the Company is not liable for any stock shortages. Photographs are as accurate as possible but cannot be a perfect representation of the product on offer. Therefore, photographs cannot be considered as contractual. Any change to an order must be made by written agreement by the Company and may lead to a price modification and methods of execution. If the Customer cancels the order, the Company may, as it sees fit, retain the sums paid by the Customer as damages and take action against the Customer in terms of payment for the entire cancelled order.
Timeframes communicated by the Company are indicative and may vary according to the availability of Products that are part of the Order. If Delivery is delayed, this does not mean the Order has been cancelled.
The Alpha-Bio Tec products comply with international standards. Therefore, the Company can guarantee all lifetime implants (with the exception of temporary implants) from any manufacturing defects. Guaranteed products are replaced on the condition that the claim form is completed and sent along with the defective product. The warranty is only valid for the original purchaser.
A reply to the claim form will be sent in response to any request that practitioners address in writing to AlphaBio France.
This guarantee does not apply in the event of: problems caused by an accident or a natural disaster; problems caused by negligence; use that is not in accordance with the instructions provided.
Notwithstanding the aforementioned, the buyer-practitioner alone shall bear responsibility for the risks and liabilities associated with the use of products delivered by Alpha Bio France.
5. Delivery of the order
The Customer is responsible for checking the state of the packaging as well as the Products when they are delivered.
It is down to the Customer to express any reservations and make any claims he/she sees necessary or even to refuse the parcel if it is clearly damaged upon delivery. Such reservations and claims must be addressed to the carrier by registered letter with a request of acknowledgment of receipt within three working days, excluding public holidays, following the date of delivery of the Products. Also, the Customer must send a copy of this letter to the Seller. Failing to make a claim within the timeframe stated above removes the right to take any action against the carrier in accordance with Clause L. 133-3 of the Commercial Code. The Customer must ensure that the goods delivered to him/her correspond to the Order. If the goods do not conform in their nature or quality to the specifications in the delivery note, the Customer must inform the Company by mail and return the Products to the address quoted in Clause 13 within the timeframe quoted in Clause 7.
6. Risk transfer
As soon as the goods leave the Company warehouses, the potential risks to the Products and packaging, including risks these may cause, become the responsibility of the Customer. With regard to the carrier, the Customer is responsible for safeguarding his/her rights for delivery.
7. Product returns and claims
Sales are firm and irrevocable. Products shall be returned if received in poor condition or are non-conforming.
- Products received in poor condition must be returned to the Seller within a maximum timeframe of 48 hours after receipt. They must be in their original packaging and must not contain any additional annotations or labels. Duplicate invoices shall be included. Returned products for exchange will be accepted after prior authorisation by Alpha Bio France and this will take place as soon as possible after the payment date and on the condition that the products are verified.
- Products that are delivered and do not conform to the order shall be returned within 10 days of receipt. Alpha Bio France will replace these as soon as possible after checking them.

The Products are invoiced based on rates in force on the day of the order. The price is understood to be free of carriage for any order exceeding the amount set by the Company at the time of the order, as it appears on the Company’s commercial documents. The price includes VAT but excludes any special packaging. For Corsica, French Overseas Departments and Territories and Foreign Countries, the Customer shall bear costs for transport and transit. Alpha Bio France reserves the right to modify its tariffs at any time and without notice but the price listed in the catalogue on the day of the order will be the only price that applies to the buyer.
Unless agreed otherwise, the Product price is payable at the time of the order.
10. Title retention clause
Transfer of Product ownership is suspended until full payment of the price and all sums that are the Customer’s responsibility. This provision applies without any distinction between goods at the buyer’s premises or outside of his/her premises. The Customer shall take all necessary measures to preserve the Products until ownership is transferred.
11. Late penalties de retard
If payment of invoices is not made on the day of the order in accordance with Clause 9 of these General Conditions, a penalty will be applied based on the rate of interest provided, which is stated in Clause L 442-6 of the Commercial Code with an additional 50%.
Also, an indemnity must be paid for recovery costs equal to 15% of the unpaid amount.

The company is the distributor of Alpha-Bio Tec products. In all cases, liability on the part of Alpha Bio France is limited to the total ordered products connected with the damage.
The Customer is solely responsible for his/her choice of the Products and Services and their suitability for his/her needs. As a professional, the Customer must check the conditions of use for the Materials and Products (including precautions, contraindications, caveats, expiry dates, certification and CE marking). AlphaBio France shall not be liable for force majeure, which is understood to be any cause of harm outside its control.

Although we do everything possible to ensure the information on the site is correct, Alpha Bio France and its partners cannot be held responsible for any errors, omissions or obsolete information. Product images may not be to scale.
Under no circumstances shall Alpha Bio France be liable for any direct or indirect damage resulting from misuse or from any incident related to the use of the computer, accessing the Internet, maintenance or malfunction of servers, or any other technical connection.

Information requested from the Customer is needed to process the Order and for our commercial relations. If the Customer agrees to disclose individual personal data, he/she has an individual right to access, withdraw and rectify such data under the terms of law no. 78-17 of 6 January 1978 relating to information technology, files and freedoms. 15. Modifying the general condition of sale
The Company reserves the right to modify these terms and conditions at any time. In such a case, the applicable conditions will be those in force on the date of the buyer’s order and will be available on the Company's website.

17. Intellectual property intellectuelle
These General Terms and Conditions do not constitute a transfer of intellectual property rights, with the sole exception of the right to use the implant delivered after full payment of the price.
This site and the associated domain names are the property of AlphaBio France. Patents and trademarks are the property of Alpha-Bio Tec. Any reproduction, adaptation and distribution is strictly forbidden.
18. Applicable law, jurisdiction and election of domicile
This Agreement and the relationship between you and AlphaBio France shall be governed by the laws of France. Any litigation will be under the sole jurisdiction of the Paris Commercial Court, even in the event of an interlocutory appeal, even in the case of a claim under warranty where multiple defendants are involved, whatever the qualities of these defendants may be. These provisions apply despite any clause to the contrary in buyers' purchase orders.
